These Terms & Conditions ("Terms") govern your use of the NGL AI platform ("Service") operated by NGL AI ("we", "us", "our") at nglai.app. By creating an account or using the Service, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and legally able to form a binding contract to use this Service. By registering, you represent that you meet these requirements and that all information you provide is accurate.
2. The Service
NGL AI provides an AI-powered conversational commerce platform that allows merchants to:
- Connect messaging channels (Messenger, WhatsApp, Instagram, Website Widget) to a unified inbox
- Deploy an AI agent (powered by Google Gemini) to respond to customer inquiries and take orders
- Sync product catalogs from Shopify, WooCommerce, or custom REST APIs
- Manage orders, leads, and analytics from a single dashboard
The Service is provided on an "as is" basis. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.
3. Account & Access
- You are responsible for maintaining the confidentiality of your login credentials.
- You may invite team members (agents) to your store. You are responsible for their actions.
- You must not share accounts or allow unauthorized access to your dashboard.
- We may suspend or terminate accounts that violate these Terms without prior notice.
4. Credits & Billing
- The Service operates on a prepaid credit model. Credits are purchased in BDT and deducted per AI-processed message.
- Credit packages are non-refundable once purchased, except where required by law.
- Unused credits do not expire, but will be forfeited if your account is terminated for a Terms violation.
- Recharge requests are processed manually. We aim to confirm within 1 business day.
- We reserve the right to adjust credit pricing with 14 days' notice to active merchants.
5. Acceptable Use
You agree not to use the Service to:
- Send spam, unsolicited messages, or engage in bulk messaging outside of customer-initiated conversations
- Sell counterfeit, illegal, or prohibited goods
- Harass, threaten, or deceive customers
- Attempt to reverse-engineer, scrape, or exploit the platform or its AI models
- Circumvent rate limits, credit deductions, or security controls
- Violate Meta's Platform Policies when using Messenger, WhatsApp, or Instagram channels
Violation of these rules may result in immediate account suspension without refund.
6. AI-Generated Content
The AI agent generates responses based on your product catalog and configured knowledge base. You are solely responsible for:
- The accuracy of product information, prices, and availability you upload
- Reviewing and correcting AI responses where necessary via human handoff
- Ensuring AI-confirmed orders are fulfilled as promised to customers
We do not guarantee that the AI will always respond correctly or appropriately. We recommend enabling human handoff for complex or high-value orders.
7. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
You retain ownership of your store data, product catalog, and customer conversation history. You grant NGL AI a limited licence to process this data solely to provide the Service.
8. Channel Platform Compliance
You are responsible for complying with the terms and policies of each messaging platform you connect (Meta, WhatsApp Business, etc.). NGL AI is not liable for account restrictions or bans imposed by third-party platforms due to your messaging practices.
9. Intellectual Property
The NGL AI platform, brand, codebase, and AI configurations are owned by us. You may not copy, resell, or white-label the Service without our written permission. Your store data and content remain your property.
10. Limitation of Liability
To the fullest extent permitted by law, NGL AI is not liable for:
- Lost profits, revenue, or orders resulting from AI errors or service downtime
- Actions taken by third-party platforms (Meta, Google, etc.)
- Data loss caused by events outside our reasonable control
Our total liability to you in any calendar month shall not exceed the value of credits you purchased in that same month.
11. Governing Law
These Terms are governed by the laws of Bangladesh. Any disputes shall be resolved in the courts of Dhaka, Bangladesh.
12. Changes to These Terms
We may update these Terms as the platform evolves. We will notify active merchants by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
